Warehouse Lending
BuckleySandler lawyers have been involved for many years in structuring and negotiating warehouse credit facilities, including repurchase agreement structures, purchase and sale structures and traditional revolving credit lines. We also have significant experience with the ancillary agreements and issues that arise with respect to warehouse lending transactions, including:
- Preparation and negotiation of personal and corporate guaranties, servicing agreements, custodial agreements, intercreditor agreements, bailee letters and other ancillary agreements
- Structuring transactions to meet the regulatory requirements of various federal and state agencies, including RESPA and loans to one borrower requirements
- Structuring transactions for warehouse lenders to maximize bankruptcy protections and to ensure compliance with all relevant Uniform Commercial Code requirements
- Preparation and delivery of appropriate legal opinions on behalf of warehouse borrowers and warehouse lenders
