BuckleySandler frequently acts as counsel for clients in the acquisition or disposition of forward and reverse mortgage loans and servicing rights, whether the transactions involve third-party private investors, brokers, government sponsored enterprises and/or special purpose vehicles. Our capital markets work is strengthened by our deep understanding of the legal, operational and financial risks of the assets that are the subject of the transaction.

Representative experience includes:

  • Structuring, drafting and negotiating loan and servicing purchase, assignment and assumption, loan broker, loan correspondent, servicing and sub-servicing agreements.
  • Negotiating master purchase agreements, variances and other purchase and servicing-related issues with government-sponsored enterprises.
  • Representing clients in the purchase or sale of distressed assets.
  • With respect to reverse mortgages, advising clients with respect to Ginnie Mae HMBS transactions.
  • Ensuring allocation of risk is not affected by trade confirmations and other ancillary documents used in follow-up trades in bulk flow deals.
  • Advising loan sellers and servicers on Regulation AB requirements.
  • Counseling clients with respect to repurchase demands, recourse requirements and other significant issues related to their secondary market agreements.
  • Advising clients on licensing and authority issues required to acquire, own or sell assets.
