Mergers & Acquisitions
BuckleySandler frequently acts as deal counsel for clients in the acquisition or disposition of financial services businesses (including loans or servicing rights portfolios), as well as companies in other industry segments. In the financial services area, we have represented clients in transactions involving mortgage, lending or leasing companies, consumer finance and credit card issuers, banking institutions, servicing and collection companies, and related service organizations such as appraisal, title search, flood certification, settlement, tax, and documents preparation enterprises.
BuckleySandler lawyers possess substantial expertise in analyzing potential deals and regularly conduct regulatory and legal due diligence or other risk assessments for clients considering acquisitions or strategic alliances with other financial services companies. We frequently assist clients in negotiating, documenting and closing mergers, asset sales, and stock purchases. Our experience covers transactions with privately-owned and publicly-traded companies, whether they are negotiated either directly, through an auction/bid process, or under bankruptcy proceedings. We frequently handle the regulatory approvals and public disclosure matters arising in these transactions.
In addition, we provide advice in connection with transactions for which we serve as corporate counsel and also often serve as special Washington counsel to law firms throughout the country with respect to regulatory issues related to mergers and acquisitions and bankruptcy reorganizations.
