Biography

Kathryn Ryan is a partner at BuckleySandler based out of the firm’s Washington, DC office. She advises consumer financial services companies on a variety of regulatory, licensing, compliance and transactional matters, including federal and state compliance requirements, Federal Housing Administration (FHA) compliance and risks associated with the False Claims Act and FIRREA. Her clients include banks, mortgage originators and servicers, commercial lenders, bank holding companies, private equity firms, finance companies, debt collection companies and various related service providers. Ms. Ryan assists clients with matters before state regulatory agencies, the CFPB, the DOJ, HUD and federal banking agencies. She also provides strategic and tactical advice to help clients identify and secure nationwide federal and state approvals necessary to achieve operational goals.

Representative matters include:

  • Outside counsel for state-chartered bank with respect to state licensing and regulatory issues, including NMLS management issues, annual renewals, ongoing licensing maintenance issues and various S.A.F.E. Act requirements
  • Advising clients on licensing and regulatory issues, including state-specific interpretation of the S.A.F.E. Act 
  • Lead regulatory counsel and project manager for a major national financial institution’s asset acquisition of a mortgage origination platform
  • Regulatory counsel for acquirers and sellers associated with stock acquisition and purchase of operating assets of licensed entities
  • Licensing and regulatory compliance in connection with state mortgage banker, broker, consumer and commercial loan laws
  • Licensing and regulatory compliance in connection with Government Sponsored Entities (Fannie Mae and Freddie Mac) and Agencies (FHA, Ginnie Mae, VA, USDA)
  • Federal and state enforcement examinations, including CFPB exam preparation
  • Formation of Federal Housing Administration (FHA) and Veterans Administration (VA) lending platforms and FHA compliance and ongoing compliance and regulatory advice
  • Performing risk audits of mortgage lenders operations for compliance with FHA regulations

Ms. Ryan received her J.D. from Catholic University and her B.A. from the University of Virginia.
